Terms of Service

Effective date: 6 November 2026

1. Agreement

By using ShowsUp ("the Service"), you agree to these Terms of Service ("Terms"). The Service is operated by Pipeline Engine Ltd, registered in England and Wales ("we", "us", "our"). If you do not agree, do not use the Service.

The Service is provided for business use only and is not intended for consumers. By using the Service you confirm you are acting in the course of a business.

2. The service

ShowsUp provides automated meeting reminder sequences via email, SMS, and AI voice calls. The Service integrates with your calendar and email providers to schedule and send reminders to your meeting attendees.

3. Accounts

  • You must provide accurate account information and keep it up to date.
  • You are responsible for all activity under your account.
  • You must not share your account credentials with others.
  • You must be at least 18 years old to use the Service.

4. Acceptable use

You agree not to:

  • Send unsolicited messages (spam) through the Service.
  • Use the Service to contact people who have not booked a meeting with you or your organisation.
  • Violate any applicable laws, including data protection regulations (UK GDPR, PECR).
  • Attempt to access other users' data or circumvent security measures.
  • Use the Service in a way that could harm, overload, or impair it.
  • Use the AI voice, SMS, or email channels for marketing or promotional messages to recipients who have not consented to receive them.
  • Upload or message any contact unless you have a lawful basis to contact them and have given them any privacy notice required by law.

We may suspend or terminate accounts that violate these terms without notice.

You are responsible for how you use the Service and for the people you contact through it. You confirm that, for every recipient you add or message, you have a lawful basis to process their data and to contact them on each channel you use (email, SMS, and voice), and that you comply with all applicable data protection and electronic communications laws, including UK GDPR, PECR, and any equivalent laws where your recipients are located.

5. Pricing and billing

  • Paid plans are billed monthly or annually via Stripe.
  • Monthly token allowances reset at the start of each billing cycle and unused allowance does not roll over. Tokens purchased separately as one-time top-ups do not expire and remain available until used.
  • We may change pricing with 30 days' notice. Existing subscriptions continue at the current rate until renewal.
  • Refunds are at our discretion. Contact us within 14 days of a charge if you believe it was made in error.

6. Integrations

The Service connects to third-party platforms (Google, Microsoft, Twilio) via OAuth and APIs. By connecting these integrations, you authorise us to access the data described in our Privacy Policy. We are not responsible for outages or changes to third-party services.

Where we process personal data about your meeting attendees, we do so as your processor under our Data Processing Agreement, which forms part of these Terms.

Place search in the meeting location field is provided by Google Maps. By using it you agree to the Google Maps/Google Earth Additional Terms of Service and the Google Privacy Policy.

7. Your content

You retain ownership of all content you create in ShowsUp (templates, sequences, contact data). You grant us a limited licence to use this content solely to provide and improve the Service. We do not use your content for advertising or sell it to third parties.

8. Your responsibilities and indemnity

You will indemnify and hold harmless Pipeline Engine Ltd against any claims, losses, fines, and reasonable costs arising from: (a) your content or the data you upload; (b) your use of the Service in breach of these Terms; or (c) your breach of any data protection or electronic communications law, including any claim by a recipient or any regulator relating to messages sent on your instructions. This does not apply to the extent a loss is caused by our own breach of these Terms or our negligence.

9. Availability and support

We aim for high availability but do not guarantee uninterrupted service. We are not liable for missed reminders due to third-party outages (email providers, Twilio, calendar platforms) or scheduled maintenance. We will provide reasonable notice for planned downtime.

Except as expressly stated in these Terms, the Service is provided "as is" and "as available", and we exclude all implied terms, warranties, and conditions to the fullest extent permitted by law, including any implied terms as to satisfactory quality or fitness for a particular purpose. We do not warrant that the Service will be uninterrupted, error free, or that reminders will always be delivered, as delivery depends on third parties outside our control.

10. Limitation of liability

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot be excluded or limited under English law.

To the maximum extent permitted by law, Pipeline Engine Ltd is not liable for indirect, incidental, or consequential damages including lost revenue, lost deals, or missed meetings arising from use of the Service. Our total liability is limited to the fees you paid in the 12 months prior to the claim.

11. Termination

  • You may cancel your subscription at any time from the Settings page or by contacting us.
  • We may terminate your account if you violate these Terms.
  • You may delete your account at any time from the Settings page. Deletion deactivates your account immediately and permanently removes all associated data after a 30-day grace period; you can restore your account at any point within those 30 days by logging back in.
  • If your account becomes inactive, your data is permanently deleted after 12 months of inactivity, in accordance with our Privacy Policy.

12. Changes to these terms

We may update these Terms from time to time. We will notify you of material changes by email. Continued use of the Service after changes constitutes acceptance.

13. General

Force majeure: we are not liable for any failure or delay caused by events beyond our reasonable control, including third-party outages, network or telecoms failures, and acts of government.

Assignment: you may not assign or transfer your rights under these Terms without our consent. We may assign these Terms to a successor in connection with a merger, acquisition, or sale of assets.

Severability: if any provision is found unenforceable, the rest remain in force.
